Terms of Service

1. Eligibility

You must be at least 18 years of age to create an account or use the App. By registering, you represent and warrant that you are 18 or older and have the legal capacity to enter into these Terms. We reserve the right to request proof of age at any time and to terminate accounts that violate this requirement.

2. Account Registration

To access the App, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activity that occurs under your account.
• Notifying us immediately at admin@bobiinc.com if you suspect unauthorized access.

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or remain inactive for an extended period.

3. User Types

The App supports multiple user roles:

• Content Creators: Individuals who complete brand tasks, create content, and earn Bobi Coins.
• Company Managers: Representatives of brands or businesses who create campaigns, post offers, and manage creator collaborations.

You may only maintain one account. Switching between user types may be subject to additional verification.

4. Paid Services, Subscriptions & In-App Purchases

4.1 Bobi Coin Purchases (In-App Purchase)

Bobi Coins may be purchased directly within the App through Apple's In-App Purchase system. Prices are displayed in the App and confirmed before purchase. Bobi Coin purchases are consumable items and are non-refundable once credited to your wallet, except as required by applicable law or Apple's refund policy.

4.2 Campaign Funding (Company Managers)

Company Managers fund influencer campaigns using Bobi Coins allocated to their account. Funded amounts are held in escrow within the platform and disbursed to creators upon successful task completion. Unused campaign budgets may be returned to the Company Manager's wallet subject to the campaign's cancellation terms.

4.3 Creator Earnings & Withdrawals

Content Creators earn Bobi Coins upon completing approved tasks and campaigns. Earned Bobi Coins may be withdrawn to a linked bank account subject to:

• Minimum withdrawal thresholds as displayed in the App.
• Identity verification requirements.
• Processing times, which may vary by region and banking institution.
• Applicable taxes, which are the sole responsibility of the Creator.

Withdrawal availability and supported countries are subject to change. Bobi Inc. is not a bank or financial institution and does not guarantee any particular exchange rate or processing time.

5. Bobi Coins

5.1 Nature of Bobi Coins

Bobi Coins ("BC") are a digital token used within the App. Bobi Coins are not cryptocurrency, securities, or legal tender. They represent a limited, non-transferable (except as permitted by the App) license to use a digital unit within the Bobi ecosystem.

5.2 Earning Bobi Coins

Content Creators earn Bobi Coins by completing tasks, campaigns, and other activities within the App. The amount earned is determined by the terms of each offer or campaign and may vary.

5.3 Transfers Between Users

Users may transfer Bobi Coins to other registered users via the App's transfer feature. Transfers are final and cannot be reversed once confirmed. You are solely responsible for verifying the recipient before confirming a transfer.

5.4 Forfeiture

We reserve the right to forfeit, reduce, or revoke Bobi Coins associated with accounts that engage in fraud, abuse, manipulation, or any violation of these Terms. Upon account termination, any remaining Bobi Coin balance may be forfeited unless applicable law requires otherwise.

6. Bobi Tags

Each user is assigned a unique Bobi Tag (username identifier). Bobi Tags are subject to the following rules:

• Tags must not impersonate other individuals, brands, or entities.
• Tags containing offensive, discriminatory, or misleading content are prohibited.
• We reserve the right to reclaim or reassign Bobi Tags at our discretion.

7. Content and Intellectual Property

7.1 Your Content

You retain ownership of content you create and upload to the App ("User Content"). By uploading User Content, you grant Bobi a worldwide, non-exclusive, royalty-free, sublicensable license to use, display, reproduce, and distribute your User Content solely for the purpose of operating and promoting the App and fulfilling campaign obligations.

7.2 Campaign Content

Content created in fulfillment of brand campaigns may be subject to additional licensing terms specified in the campaign offer. By accepting and completing a campaign, you agree to the content usage rights described in that offer.

7.3 Our Content

All App content, branding, design, code, and features not created by users are the exclusive property of Bobi Inc. and are protected by intellectual property laws.

8. Social Media Integration

The App may integrate with third-party social media platforms, including Instagram. By connecting your social media accounts:

• You authorize us to access your public profile information, content metrics, and engagement data as permitted by the platform's API.
• You represent that you have the authority to connect the social media account.
• You acknowledge that third-party platforms have their own terms and privacy policies that continue to apply.
• We are not responsible for changes to third-party APIs that may affect App functionality.

9. Company Manager Obligations

If you register as a Company Manager, you additionally agree to:

• Provide accurate company information and have authorization to act on behalf of the company.
• Fund campaigns and offers in accordance with their stated terms.
• Not post deceptive, misleading, or unlawful offers.
• Review and approve or reject creator submissions in a timely manner.
• Comply with all applicable advertising and consumer protection laws.
• Maintain an active subscription for the duration of any live campaigns.

10. Prohibited Conduct

You agree not to:

• Use the App for any unlawful purpose or in violation of any applicable law.
• Create fake accounts, use bots, or manipulate engagement metrics.
• Engage in fraud, including fabricating task completions or inflating metrics.
• Harass, abuse, or threaten other users.
• Attempt to exploit, hack, reverse-engineer, or interfere with the App's systems.
• Circumvent any security measures or access restrictions.
• Transfer Bobi Coins as payment for illegal goods or services.
• Use automated scripts or tools to interact with the App without authorization.
• Spam other users or abuse the notification or messaging features.

11. Ratings and Reviews

The App allows users to rate and review each other after completed transactions or campaigns. Ratings must be honest and based on genuine experience. We reserve the right to remove ratings that are fraudulent, retaliatory, or violate these Terms.

12. Termination

We may suspend or terminate your account at any time, with or without notice, for conduct that we determine violates these Terms, is harmful to other users, or is otherwise objectionable. Upon termination:

• Your right to use the App ceases immediately.
• Any active subscription will not be automatically cancelled — you must cancel through Apple's subscription management to stop future billing.
• Unredeemed Bobi Coins may be forfeited unless applicable law requires otherwise.

You may delete your account at any time through the App settings. Account deletion is permanent and cannot be undone. Deleting your account does not automatically cancel any active subscription.

13. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOBI INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE APP SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

15. Indemnification

You agree to indemnify, defend, and hold harmless Bobi Inc. and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the App, your User Content, your violation of these Terms, or your violation of any rights of a third party.

16. Dispute Resolution

Any dispute arising from these Terms or your use of the App shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association. Arbitration shall take place on an individual basis; class actions and class arbitrations are not permitted. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions.

18. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated through the App or via email at least 30 days before they take effect. Your continued use of the App after the effective date of updated Terms constitutes acceptance of those changes.

19. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Bobi Inc. regarding your use of the App.
